Terms of Service

1.1 Acceptance of Terms

By creating an account or using VIVEX, you agree to these Terms of Service. If you do not agree, do not use the app.

1.2 Eligibility

You must be at least 18 years old to create a VIVEX account. Certain features, events, and content are further restricted to users 21 and older, as described in Section 1.3.

1.3 Age-Gated Content and Alcohol Advertising

VIVEX takes age-appropriate content seriously:

• Users must accurately self-report their date of birth at signup. VIVEX may request additional verification for age-restricted events.
• Users under 21 will not be shown alcohol, spirits, or bar/nightlife sponsor advertising anywhere in the app, including but not limited to sponsor ad units, "Earn AX8 While You Wait" ad placements, event sponsor listings, and push notifications.
• Events flagged as 21+ (e.g. bars, clubs, events with alcohol service) are not visible or discoverable to users under 21 in event listings, search, or recommendations.
• Organizers creating 21+ events are responsible for accurately flagging them as such at creation.
• VIVEX reserves the right to suspend accounts found to have misrepresented age at signup.

1.4 AX8 Token — Important Disclosures

AX8 is a utility token used within the AVRIO/VIVEX ecosystem for rewards, ticketing fee discounts, and platform engagement. By using AX8, you acknowledge:

• AX8 is not an investment, security, or financial product. VIVEX does not guarantee, represent, or imply that AX8 will hold, gain, or increase in value.
• AX8's market price is determined externally (via decentralized exchange liquidity) and can be highly volatile. VIVEX is not responsible for price fluctuations.
• AX8 balances shown in-app are denominated in tokens, not currency, and any USD-equivalent value shown is an estimate based on live market price at time of display, not a fixed or guaranteed value.
• Transfers of AX8 out of your VIVEX wallet to an external wallet (e.g. Phantom) are final and cannot be reversed once approved and sent on-chain. Transfer requests are deducted from your VIVEX balance immediately upon submission and require manual back-office approval (up to 48 hours) before being sent on-chain. Rejected transfer requests are refunded to your VIVEX wallet.
• VIVEX is not a bank, money transmitter, or financial institution, and AX8 is not legal tender.
• You are solely responsible for the security of any external wallet you connect to VIVEX (e.g. safeguarding your Phantom wallet seed phrase). VIVEX is not liable for losses due to compromised external wallets.
• Nothing in this app constitutes financial, investment, or tax advice.

1.5 SPARK Proximity Matching

• SPARK uses approximate device location to identify other users nearby who have SPARK active. Exact location and identity are not shared with other users unless and until both parties mutually indicate interest ("Hot").
• You are responsible for your own conduct and safety at any in-person meetup arranged through SPARK. VIVEX does not perform background checks on users and is not responsible for the actions of any user you meet through the app.
• Harassment, impersonation, or use of SPARK to solicit illegal activity is prohibited and may result in account termination.

1.6 Referral Program

• Referral rewards (AX8) are calculated at live market rate against a fixed USD target set by VIVEX and are subject to change without notice.
• VIVEX reserves the right to withhold or reverse referral rewards obtained through fraudulent signups, duplicate accounts, or abuse of the referral system.

1.7 Social Media Post Rewards

• Rewards for sharing events on social media are subject to manual review and a minimum 48-hour holding period before approval.
• VIVEX reserves the right to reject any submission where the post has been deleted, edited to remove required content, or where follower count is misrepresented.

1.8 Ticketing

• Ticket purchases are processed via Stripe. Platform fees vary by membership tier (Starter/Pro/Elite) as disclosed at checkout.
• Refund and cancellation policies are set by individual event organizers unless otherwise stated. By default, tickets are refundable in full up to 7 days before the event start time; the platform processing fee is non-refundable. Organizers may set a stricter or more lenient policy, which will be disclosed on the event listing at checkout.

1.9 Account Termination

VIVEX may suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the AX8 reward system.

1.10 Limitation of Liability

VIVEX is provided "as is." VIVEX disclaims liability for losses arising from AX8 price volatility, third-party wallet security, in-person meetups arranged via SPARK, or events hosted by third-party organizers.

1.11 Changes to These Terms

VIVEX may update these Terms from time to time. Continued use of the app after changes constitutes acceptance.
